  中文版

  本独家代理协议(以下简称“本协议”)由以下两方于【签订日期】在【签订地点】签署:

  甲方:【委托方全称】,注册地址为【委托方注册地址】,法定代表人为【法定代表人姓名】(以下简称“委托方”);

  乙方:【代理商全称】,注册地址为【代理商注册地址】,法定代表人为【法定代表人姓名】(以下简称“代理商”)。

  鉴于委托方希望在指定区域内独家推广、销售其产品/服务,且代理商具备相应的市场开发能力与经验,双方经友好协商,达成如下协议:

  第一条 代理关系确立

  1.1 委托方特此指定并授权乙方作为其【产品/服务名称】(以下简称“产品”)在【指定区域】内的独家代理商。乙方接受此授权,并承诺在此范围内积极推广、销售产品。

  第二条 代理权限与期限

  2.1 乙方有权以委托方名义在指定区域内进行产品宣传、推广、销售及售后服务等活动,但不得超出本协议约定范围。

  Exclusive Agency Agreement

  This Exclusive Agency Agreement (hereinafter referred to as "this Agreement") is entered into on [Date of Signing] at [Place of Signing] by the following two parties:

  Article 1 Establishment of Agency Relationship

  1.1 The Principal hereby appoints and authorizes Party B as its exclusive agent for [Product/Service Name] (hereinafter referred to as the "Product") within the [Designated Area]. Party B accepts this appointment and commits to actively promoting and selling the Product within this scope.

  Article 2 Scope of Agency and Term

  2.1 Party B is entitled to conduct product promotion, marketing, sales, and after-sales services in the designated area under the name of the Principal, but shall not exceed the scope stipulated in this Agreement.

  2.2 This Agreement shall take effect on [Commencement Date] and remain valid until [Termination Date], with a duration of [Term Length]. If neither party raises any objections [Notification Period] prior to the expiration of the agreement, it shall automatically renew for [Renewal Duration].

  Article 3 Agency Fees and Settlement

  3.2 Party B is entitled to determine the final selling price during sales, but must ensure that it does not fall below the agreed-upon [Minimum Retail Price].

  Article 4 Confidentiality

  4.1 Both parties shall maintain strict confidentiality regarding any commercial secrets, technical data, or other information obtained during the performance of this Agreement, and shall not disclose such information to third parties or use it for purposes outside the scope of this Agreement without the written consent of the other party.

  Article 5 Liability for Breach

  5.1 In case of any breach of this Agreement by either party, the breaching party shall compensate the non-breaching party for all direct and indirect losses incurred thereby.

  Article 6 Dispute Resolution

  6.1 Any dispute arising out of or in connection with this Agreement shall first be resolved through friendly negotiation between the parties. In the event that no resolution can be reached through negotiation, either party may submit the dispute to [Arbitration Institution Name], in accordance with the arbitration rules of said institution in force at that time.

  Article 7 Miscellaneous

  7.1 Matters not covered in this Agreement may be supplemented by additional agreements separately concluded by the parties. Such supplementary agreements shall have equal legal effect with this Agreement.

  7.2 This Agreement is made in duplicate, with each party holding one copy, and shall come into effect upon the affixation of signatures and seals by both parties.

  Exclusive Business English Agency Agreement

  This Exclusive Business English Agency Agreement ("Agreement") is entered into on [Date] by and between:

  a) Agent shall use its best efforts to promote, market, and sell Principals products/services within the Territory. b) Agent shall maintain adequate stocks of Principals products, if applicable, and ensure their proper storage and handling. c) Agent shall provide regular sales reports, market feedback, and other relevant information to Principal. d) Agent shall comply with all applicable laws, regulations, and industry standards in conducting its activities under this Agreement.

  4. Duties and Obligations of Principal

  a) Principal shall supply Agent with all necessary product/service information, promotional materials, and training to enable Agent to perform its duties effectively. b) Principal shall ensure the timely delivery of ordered products/services, subject to agreed lead times and terms. c) Principal shall maintain the quality and competitiveness of its products/services throughout the term of this Agreement. d) Principal shall promptly address any issues or concerns raised by Agent regarding product/service quality, pricing, or supply.

  5. Term and Termination

  This Agreement shall commence on [Commencement Date] and continue for an initial term of [Term Duration], renewable upon mutual agreement. Either party may terminate this Agreement upon [Notice Period] written notice in the event of material breach by the other party or under other circumstances specified in this Agreement.

  6. Confidentiality
